PA Annual Report - 2026 Filing Update

Many businesses are beginning to receive Annual Report reminders from the Pennsylvania Department of State for the 2026 filing year. Here is what you need to know to stay compliant. 

How Reminders Are Sent

By default, the Department sends reminders by postcard. However, if you opted to receive email notifications when filing your 2025 Annual Report, you will receive the 2026 reminder by email only, and no postcard will be sent.

Important Clarification About 2025 Filings

If you did not file their 2025 PA Annual Report, there is no need and no way to file it retroactively. The Department of State has updated its system and aligned filing requirements with the current 2026 filing year.

Pennsylvania is currently offering a grace period covering the 2025 and 2026 filing years. As a result:

  • There are no immediate penalties
  • No entities will be administratively dissolved for non‑filing at this time
  • Administrative dissolutions related to Annual Report non‑filing will not begin until 2027

What This Means for You

If you receive a reminder for 2026, file by the deadline to stay compliant going forward. There is no action required related to 2025 filings, even if you missed that filing year.

Filing Deadlines

Corporations (business and nonprofit), domestic and foreign January 1 – June 30
LLCs, domestic and foreign January 1 – September 30
LPs, LLPs, business trusts, professional associations, domestic and foreign January 1 – December 31
