Annual Reporting Resource Center

As of 2025, Pennsylvania businesses and nonprofits are now required to file an annual report with the Pennsylvania Department of State. This replaces the previous decennial filing requirement.

Requirements and due dates vary by entity type, and failure to file can result in penalties.

Who Must File

Pennsylvania-registered businesses and nonprofits of all types are required to file an annual report, including:

Filing Deadlines

Corporations (business and nonprofit), domestic and foreign January 1 – June 30
LLCs, domestic and foreign January 1 – September 30
LPs, LLPs, business trusts, professional associations, domestic and foreign January 1 – December 31

How to File

You can file your annual report online through the Pennsylvania Department of State’s Business Filing Services portal. Please note: Filing online is strongly recommended — the system will pre-populate your existing company information, helping to prevent costly mistakes or delays.
